Terms of Service

The rules of the road for using CertSeal. Please read them carefully — by signing up, you agree to be bound by them.

The agreement

These Terms of Service ("Terms") form a binding agreement between you (or the organization you represent) and CertSeal.com ("CertSeal", "we", "us"). They govern your access to and use of the CertSeal website, web application, APIs, and related services (the "Service").

By creating an account, accessing the Service, or clicking "I agree", you confirm that you have read these Terms, you accept them, and — if you are signing up on behalf of an organization — you have authority to bind that organization.

Accounts

  • You must be at least 16 years old to create a CertSeal account.
  • You are responsible for keeping your credentials secure and for all activity under your account.
  • Notify us immediately at support@certseal.com if you suspect unauthorized use.
  • One person or organization per account. Shared logins are discouraged; use team seats instead.

Plans & billing

  • Paid plans are billed monthly or annually in advance. Fees are non-refundable except where required by law or as set out below.
  • If you exceed the credential quota of your plan, overage fees apply at the rates shown on the pricing page. We will alert you before any overage is billed.
  • You can upgrade or downgrade at any time. Upgrades take effect immediately with prorated billing. Downgrades take effect at the end of the current billing period.
  • If a payment fails, we will retry and notify you. Repeated failures (typically more than 14 days overdue) may result in suspension of the Service until payment is brought current.
  • All fees are exclusive of taxes. You are responsible for sales tax, VAT, GST, withholding tax, and similar levies that apply to your purchase.

Acceptable use

You may not use the Service to:

  • Issue credentials you are not authorized to issue, or that misrepresent achievement.
  • Violate any law, regulation, or third-party right.
  • Distribute malware, run phishing campaigns, or send unsolicited bulk email.
  • Probe, scan, or test the vulnerability of the Service except through our authorized responsible-disclosure programme.
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service, except where such restriction is prohibited by law.
  • Resell, sublicense, or white-label the Service without a separate written agreement.
  • Use the Service to train competing machine-learning models.
  • Issue credentials with sexually explicit, hateful, or unlawful content, or content that promotes self-harm or violence.

We may suspend or terminate accounts that violate these rules, with or without notice depending on severity.

Your content

You retain all rights in the templates, brand assets, copy, recipient data, and other materials you upload to the Service ("Customer Content"). You grant CertSeal a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, and display Customer Content solely to provide and improve the Service for you.

You represent and warrant that:

  • You own or have the necessary rights to upload your Customer Content.
  • Your Customer Content does not infringe any third-party intellectual property right.
  • You have a lawful basis to process the personal data of any recipients whose information you upload.

Issued credentials

  • Credentials issued through the Service are independent records owned by the issuing organization and shareable by their recipients.
  • We commit to keeping already-issued credentials publicly verifiable for as long as reasonably practicable, even after your account is cancelled, subject only to revocation requests, legal obligations, or hosting infeasibility.
  • You are solely responsible for the accuracy, lawfulness, and merit of every credential you issue. We are not responsible for disputes between issuers and recipients.

Our intellectual property

The Service, including all software, designs, copy, trademarks, and the CertSeal name and logo, is owned by us or our licensors and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks except as needed to factually identify CertSeal as the underlying platform of an issued credential.

Third-party services

The Service integrates with third-party platforms (e.g. payment processors, email providers, LMSs). Your use of those services is governed by their own terms; we are not responsible for their availability or content. Disabling a third-party service may affect features of the Service that depend on it.

Confidentiality

Each party agrees to protect the other's non-public information disclosed in connection with the Service ("Confidential Information") with the same care it uses for its own confidential information (and at least reasonable care), and to use it only to perform obligations or exercise rights under these Terms.

Warranties & disclaimers

We warrant that the Service will materially perform as described in our documentation. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EACH PARTY'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

Indemnification

You will defend, indemnify, and hold CertSeal harmless from any claim or demand by a third party (including reasonable legal fees) arising from your Customer Content, your use of the Service in violation of these Terms, or your breach of any applicable law.

Term & termination

  • These Terms apply from the moment you create an account until terminated.
  • You may cancel at any time from your account settings. Annual plans are not refunded except where required by law.
  • We may suspend or terminate your account immediately for material breach of these Terms or where required by law.
  • Sections that by their nature should survive termination (intellectual property, confidentiality, liability, indemnity, governing law) will survive.

Governing law & disputes

These Terms are governed by the laws of Singapore, without regard to its conflict-of-law rules. The parties submit to the exclusive jurisdiction of the courts of Singapore, except that either party may seek injunctive relief in any court of competent jurisdiction.

Changes

We may update these Terms. For material changes we will notify active accounts at least 30 days in advance. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you may cancel your account before the effective date.
